Terms and Conditions

These terms and conditions apply to any use of ShopReport, offered by 3webapps B.V. (KVK 61834890, Regulusweg 5, 2516 AC The Hague, the Netherlands) ("we", "ShopReport"). By creating an account, you agree to these terms.

1. Definitions

• Service — the ShopReport dashboard and all associated functionality, including optional integrations.
• Customer — the individual or legal entity that creates an account.
• Shop — the Customer's connected Magento or WooCommerce store.
• Subscription — the paid plan chosen by the Customer, as described on the subscription page.

2. Account and trial period

When you register, you choose a plan and a free trial period starts automatically. The duration of the trial period is shown for the chosen plan at the time of registration and requires no payment details in advance. After the trial period ends, access to the Service is only possible after completing a paid subscription. As long as there is no active subscription, access to the Service may be suspended; stored data is retained so you can still take out a subscription at any time.

3. Subscriptions and billing

• Subscriptions are paid monthly in advance via our payment processor Stripe, unless otherwise agreed.
• Current prices and feature sets per plan are listed on the subscription page and may change; changes do not apply retroactively to an already invoiced period.
• You can cancel your subscription at any time via the management portal (Stripe Billing Portal). Cancellation takes effect at the end of the current billing period.
• If a payment fails, access to the Service may be suspended until payment is settled.

4. Use of the Service

You may not use the Service to:

• overload or compromise the systems or infrastructure of ShopReport or third parties;
• share access tokens (such as MCP tokens) with unauthorized parties;
• access or attempt to access data belonging to other Customers;
• use the Service for unlawful purposes.

In the event of a violation, we may suspend or terminate an account.

5. Ownership of data

The data you synchronize via your Shop (orders, products, customer data) remains your property as the Customer. We process this data solely to provide the Service, as described in our privacy statement.

6. Optional integrations (Google, Claude/MCP)

ShopReport offers optional connections with Google services and with AI assistants via the Model Context Protocol (MCP). These connections are never active by default and require your explicit authorization per shop. Which functionality is available through these connections may depend on your chosen subscription. You are responsible for managing any access tokens you create.

7. Availability

We make reasonable efforts to keep the Service available, but do not guarantee uninterrupted availability. We announce planned maintenance in advance where reasonably possible.

8. Liability

ShopReport is not liable for indirect damages, lost profits, or consequential damages arising from use of the Service, except in cases of intent or gross negligence. Total liability per event is limited to the amount the Customer has paid in subscription fees in the preceding three months.

9. Termination

You can cancel your account at any time. We may terminate an account in the event of continued non-payment or a violation of article 4. After termination, data is deleted in accordance with the retention periods in our privacy statement.

10. Changes

We may amend these terms. In the event of material changes, we will inform active Customers in advance. Continued use after the change date constitutes acceptance.

11. Governing law

These terms are governed by Dutch law. Disputes will be submitted to the competent court in The Hague, unless mandatory law provides otherwise.
